Community Hospital Health Services Foundation (CHF) is a 501(c)(3) tax exempt organization and classified by the IRS as a public charity (hospital) under section 509(a)(1) and 170(b)(1)(A)(iii) of the Internal Revenue Code.It’s organizing documents, the Articles of Incorporation and Code of Regulations, and various policies govern this nonprofit organization.

EXECUTIVE
Exercises all authority of the Board of Trustees in the management of the Foundation between meetings of the Board of Trustees and shall consist of the officers of the corporation.
NOMINATING
Identifies persons to fill member vacancies and officers on the Board of Trustees and makes recommendation to the Board of Trustees.
FINANCE
Advises the Executive Director and the Board of Trustees concerning policies and procedures for the financial management of the assets of the Foundation including such matters as budget, investment policies, financial reporting procedures, and accounting, audit and financial management policies.
AUDIT
Composed of members of the Executive Committee and the Finance Committee, reviews and recommends to the Board of Trustees the annual consolidated financial audit report.
PROGRAM AND PLANNING
Assists the Executive Director and advises the Board of Trustees in matters of program planning and development. Synthesizes information from planning retreats; assists in the development of an annual work plan and monitors progress toward meeting objectives of the plan.
CODE OF REGULATIONS/BY LAW
Reviews the Code of Regulations and makes recommendations to the Board of Trustees for amendments. Proposes bylaws as necessary.
DEVELOPMENT
Composed of members from the community and representatives from the Board of Trustees, acts as a high level “think tank” to set long-term funding goals and strategies for the Foundation and advises the Board of Trustees in matters relating to strategic and financial planning and fund development, including identifying/evaluating new sources of revenue and investment.
INVESTMENT COMMITTEE
Composed of members from the community and representatives from the Finance Committee, advises the Board of Trustees on investment management, investment policies, and engaging of investment advisors or consultants.
PHYSICIAN ADVISORY
Composed of physician members of the Board of Trustees and practitioners from the community, advises the Board of Trustees regarding areas of mutual interest, including:
• Role of CHF as a 50% corporate parent of Community Mercy Health System and its relationship with Catholic Healthcare Partners
• Policies and procedures that affect physicians
• Business partnerships with physicians
• Clinical services relative to women’s health, reproductive health and niche health services that CHF may offer
• Springfield Regional Medical Center/CHF Pavilion downtown campus
• Refining and clarifying CHF’s community benefit, public image and identity
REPRODUCTIVE HEALTH EDUCATION COLLABORATIVE ADVISORY COUNCIL
Composed of members from the community and one representative from the Board of Trustees, sets policy and provides guidance for the Reproductive Health Education Collaborative. The Council collects and disseminates local data; identifies gaps and determines needs; identifies target audiences for programming; establishes appropriate programs and monitors and evaluates programs; and helps build community support for comprehensive sexuality education.
